  • Service means the Logetive platform, including all software, features, tools, and associated services provided by Logetive.

  • You, Your, User, Customer means the individual or entity that has registered for and uses the Service.

  • We, Us, Our, Logetive means the entity providing the Service.

  • Chatbot - Assistant means an AI-powered conversational agent created, trained, and deployed using the Service.

  • Customer Data or Inputs means all data, text, files, documents, and other content you provide to the Service, including content used to train or configure your Chatbot.

  • Outputs means any responses, text, or content generated by your Chatbot in response to user queries or interactions.

  • Foundation Model Providers means third-party AI providers such as OpenAI, Anthropic, xAI, Deepseek, and others whose models power the Chatbots created through the Service.

  • Organization means a business entity or group account that may manage multiple Users and Chatbots under a single administrative account.


Definitions

  • Customer Data or Inputs means all data, text, files, documents, and other content you provide to the Service, including content used to train or configure your Chatbot.

  • Outputs means any responses, text, or content generated by your Chatbot in response to user queries or interactions.

  • Foundation Model Providers means third-party AI providers such as OpenAI, Anthropic, xAI, Deepseek, and others whose models power the Chatbots created through the Service.

  • Organization means a business entity or group account that may manage multiple Users and Chatbots under a single administrative account.


Acknowledgment


These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.


Eligibility and Account Registration


  • Age Requirement: You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to register for and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to update this information promptly if it changes. Providing false or misleading information may result in account suspension or termination.

  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately at contact@logetive.com if you suspect any unauthorized access or security breach.

  • Organization Accounts: If you create or join an Organization account, the account owner is responsible for all activities, Chatbots, and usage associated with that Organization. The owner may add, remove, or manage Users within the Organization.


Acceptable Use and Prohibited Activities


You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Legal Violations: Use the Service to violate any applicable local, state, national, or international law or regulation.

  • Harmful Content: Create, deploy, or use Chatbots that produce, promote, or facilitate harmful, abusive, hateful, discriminatory, threatening, harassing, defamatory, obscene, pornographic, or otherwise objectionable content.

  • Misleading or Deceptive Practices: Deploy Chatbots that impersonate individuals or entities, spread misinformation or disinformation, or engage in phishing, fraud, or other deceptive practices.

  • Spam and Abuse: Use the Service to send unsolicited communications (spam), engage in denial-of-service attacks, or otherwise abuse, harass, or harm other users or third parties.

  • Interference: Interfere with, disrupt, or impose an unreasonable burden on the Service, its infrastructure, servers, or networks.

  • Unauthorized Access: Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.

  • Reverse Engineering: Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.

  • Automated Scraping: Use bots, scripts, or automated tools to scrape, extract, or harvest data from the Service without our prior written consent.

  • Intellectual Property Infringement: Infringe on or misappropriate the intellectual property rights of Logetive, Foundation Model Providers, or any third party.

  • Competing Services: Use the Service to develop, train, or improve competing products or services, or to benchmark the Service against competing offerings without our express written permission.

  • Regulated Industries (Non-Compliant Use): Use the Service in healthcare, financial services, government, or other regulated industries unless you have independently verified compliance with all applicable regulations. The Service is not HIPAA-compliant, FISMA-compliant, PCI-DSS-compliant, or designed for use in similarly regulated environments.


Enforcement: means any responses, text, or content generated by your Chatbot in response to user queries or interactions.


Subscriptions, Payments, and Billing


  • Free and Paid Plans: Logetive offers both free and paid subscription plans. Features, usage limits, and pricing details are available on our website at www.logetive.com and may be updated from time to time.

  • Payment Processing: All payments are processed securely through our third-party payment provider, Stripe. You agree to provide accurate and complete payment information and authorize us to charge your designated payment method for all fees incurred.

  • Automatic Renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. You will be charged the then-current subscription fee upon renewal.

  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. You will not receive a refund for any unused portion of a prepaid subscription period.

  • Refunds: Refunds are provided only as required by applicable law. All sales are final unless otherwise stated.

  • Taxes: You are responsible for paying any applicable sales, use, value-added, or other taxes imposed by any jurisdiction in connection with your use of the Service. Fees are stated exclusive of any such taxes unless otherwise indicated.

  • Price Changes: We reserve the right to change our pricing at any time. If we increase the price of your subscription, we will notify you at least 30 days in advance. Continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.


Data Processing, Privacy, and AI Services


  • Privacy Policy: Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

  • Data You Provide: You retain ownership of all Customer Data (Inputs) you provide to the Service. You grant us a worldwide, non-exclusive, royalty-free license to use, process, store, transmit, and display your Customer Data solely to the extent necessary to provide the Service to you.

  • Third-Party AI Providers: To generate Chatbot responses (Outputs), your Inputs and certain Chatbot interactions may be transmitted to third-party Foundation Model Providers, including OpenAI, Anthropic, xAI, and Deepseek. These providers process your data in accordance with their own terms of service and privacy policies.

  • No Training on Your Data: We do not use your Customer Data to train, improve, or develop Logetive's own proprietary AI models or services, except as necessary to provide the Service to you. However, Foundation Model Providers may have their own data usage policies. We recommend reviewing the terms and privacy policies of OpenAI, Anthropic, and other providers to understand their data practices.

  • Sensitive Data: We strongly recommend that you do not include sensitive personal information (such as health data, financial account numbers, government identification numbers, or other highly confidential information) in your Inputs or Chatbot interactions. You are responsible for ensuring that any data you provide complies with applicable privacy and data protection laws.

  • Data Deletion: You may request deletion of your account and associated Customer Data at any time by contacting us at contact@logetive.com. We will process your request in accordance with our Privacy Policy and applicable law. Please note that certain data may be retained for legal, regulatory, or legitimate business purposes.

  • Data Security: We implement reasonable administrative, technical, and physical safeguards to protect your Customer Data. However, no system is completely secure, and we cannot guarantee the absolute security of your data. You acknowledge and accept this risk.


Foundation Model Supplementary Terms


  • Third-Party Compliance: By using the Service, you agree to comply with the terms of service, usage policies, and acceptable use policies of the Foundation Model Providers, including but not limited to OpenAI's Usage Policies, Anthropic's Acceptable Use Policy, and any other applicable third-party policies. You can access these policies through the respective providers' websites.

  • Pass-Through of Provider Restrictions: Any restrictions, prohibitions, or requirements imposed by Foundation Model Providers apply to your use of the Service. If a Foundation Model Provider prohibits certain uses of their models, you are also prohibited from using the Service for those purposes.

  • No Warranty from Providers: We do not guarantee the availability, performance, accuracy, or reliability of any Foundation Model Provider. These providers operate independently, and we are not responsible for any issues arising from their services.

  • Provider Changes: We reserve the right to add, remove, or change Foundation Model Providers at any time without prior notice. Such changes may affect the functionality, performance, or cost of the Service.


Intellectual Property Rights


  • Logetive's Property: The Service, including all software, code, algorithms, user interfaces, designs, graphics, logos, trademarks, and other content provided by Logetive, is and remains the exclusive property of Logetive and its licensors. These Terms do not grant you any ownership rights in the Service.

  • Your Content: You retain all intellectual property rights in the Customer Data (Inputs) you provide to the Service and any Outputs generated by your Chatbot. However, by using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, display, and distribute your content solely to the extent necessary to provide the Service and improve our systems.

  • Feedback: If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and exploit such feedback without any obligation to compensate you.

  • Trademarks: Logetive, the Logetive logo, and other marks used in connection with the Service are trademarks or registered trademarks of Logetive. You may not use these marks without our prior written consent.


AI-Generated Outputs and Disclaimers


  • Nature of AI Outputs: The Service allows you to create and deploy Chatbots powered by AI models provided by third-party Foundation Model Providers. These models generate Outputs based on patterns learned from large datasets. AI-generated Outputs may occasionally be inaccurate, incomplete, misleading, nonsensical, or otherwise erroneous (commonly referred to as 'hallucinations').

  • Your Responsibility: You accept sole responsibility for how you use, display, publish, distribute, rely on, or act upon any Outputs generated by your Chatbot. This includes responsibility for ensuring that Outputs are accurate, appropriate, lawful, and suitable for their intended purpose before sharing them with end users or relying on them for any decision-making.

  • No Warranty of Accuracy: We make no warranty, express or implied, regarding the accuracy, completeness, reliability, or suitability of any AI-generated Outputs for any purpose. You should independently verify any critical information before relying on it.

  • User Warnings: You agree to ensure that your end users (the people interacting with your Chatbot) are clearly informed that the Chatbot is AI-powered and that its responses may not always be accurate or complete. You should provide appropriate disclaimers and warnings to your users.

  • No Liability for AI Outputs: To the maximum extent permitted by law, we disclaim all liability for any losses, damages, or harm arising from your use of, reliance on, or distribution of AI-generated Outputs, including any harm caused by inaccurate, misleading, or otherwise erroneous Outputs.


Warranties and Disclaimers


  • AS IS and AS AVAILABLE: THE SERVICE IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR QUALITY.

  • No Guarantee of Availability: We do not warrant that the Service will be uninterrupted, error-free, secure, or available at all times. Temporary downtime may occur for maintenance, updates, technical issues, or circumstances beyond our control.

  • Third-Party Services: We are not responsible for the performance, availability, or actions of any third-party services, including Foundation Model Providers, payment processors, or other external services integrated with or used by the Service.

  • Jurisdictional Variations: Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights under applicable law.


Limitation of Liability


  • Exclusion of Indirect Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOGETIVE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • Cap on Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 USD.

  • Specific Exclusions: Without limiting the foregoing, we are not liable for any damages or losses arising from: (a) your use of or reliance on AI-generated Outputs; (b) any interruption, suspension, or termination of the Service; (c) any errors, bugs, or inaccuracies in the Service; (d) unauthorized access to or alteration of your data; (e) the conduct or content of any third party using the Service; or (f) any business interruption, loss of profits, or loss of revenue caused by the Service or any Chatbot you create.

Jurisdictional Variations: Some jurisdictions do not allow limitations on liability for certain types of damages. In such jurisdictions, the above limitations may not apply to you, and our liability shall be limited to the maximum extent permitted by law.


Indemnification


You agree to indemnify, defend, and hold harmless Logetive, its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; (d) any Customer Data or Outputs you provide, create, or distribute; (e) any Chatbot you create or deploy; or (f) any claim that your use of the Service caused harm to a third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.


Service Availability and Support


  • Best Efforts: We aim to provide reliable and continuous access to the Service. However, we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, technical issues, or events beyond our control.

  • Maintenance: We may perform scheduled or emergency maintenance that temporarily interrupts access to the Service. We will make reasonable efforts to provide advance notice of scheduled maintenance, but we are not obligated to do so.

  • Support: The level of customer support provided to you depends on your subscription plan. Details regarding support availability, response times, and channels are available on our website. We reserve the right to modify support offerings at any time.


Termination


  • Termination by You: You may terminate your account and cancel your subscription at any time through your account settings or by contacting us at contact@logetive.com. Termination takes effect at the end of your current billing period, and you will not receive a refund for any unused portion of a prepaid subscription.

  • Termination by Us: We may suspend, restrict, or terminate your access to the Service immediately and without prior notice if: (a) you violate these Terms; (b) you fail to pay any fees when due; (c) you misuse the Service or engage in prohibited activities; (d) we are required to do so by law or court order; or (e) we decide, in our sole discretion, to discontinue the Service or any part thereof.

  • Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. We will delete your account and associated Customer Data in accordance with our Privacy Policy and applicable law, unless we are required or permitted to retain certain data for legal, regulatory, or legitimate business purposes.

  • Survival: The following sections shall survive termination: Definitions, Intellectual Property Rights, AI-Generated Outputs and Disclaimers, Warranties and Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous.


Dispute Resolution and Governing Law


  • Informal Negotiation: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or related to these Terms or the Service (a Dispute) through good-faith informal negotiation. You must contact us at contact@logetive.com with a description of the Dispute, and both parties shall attempt to resolve the matter within 30 days.

  • Governing Law: These Terms and any Dispute shall be governed by and construed in accordance with the laws of Greece and the European Union, without regard to conflict of law principles.

  • Exclusive Jurisdiction: If informal negotiation does not resolve the Dispute, you agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the courts of Athens, Greece. You consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.


Changes to These Terms


We reserve the right to modify, amend, or update these Terms at any time. If we make material changes, we will notify you by email (to the address associated with your account), by posting a notice on the Service, or through other appropriate means. The updated Terms will be effective as of the date specified in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.


Miscellaneous


  • Entire Agreement: These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Logetive regarding the Service and supersede all prior or contemporaneous agreements, understandings, or representations.

  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it shall be severed.

  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Logetive.

  • Assignment: You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

  • Force Majeure: We shall not be liable for any failure or delay in performance of our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or network failures, or failures of third-party services or suppliers.

  • No Third-Party Beneficiaries: These Terms are for the benefit of you and Logetive only and do not confer any rights on any third party.

  • Language: These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.
